1. Agreement to Terms

By accessing or using AuraLocal ("Service"), operated by AuraLocal ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

AuraLocal is a software-as-a-service (SaaS) platform that provides a comprehensive Google Business Profile management and local SEO optimization solution. The Service includes:

• Rank tracking and monitoring for Google Business Profiles
• Geographic ranking heatmaps and grid visualizations
• Competitor intelligence and analysis
• AI-powered GBP audits, recommendations, and action checklists
• Automated post generation and scheduling
• Review tracking and AI-assisted response generation
• Performance analytics and client-shareable reporting
• Multi-location management tools

The Service is delivered entirely online through our web-based platform. No physical goods are shipped or delivered. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By creating an account, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Subscription, Payment, and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and pricing tiers. Current plan details, including pricing and included features, are available on our Pricing page. You agree to pay all fees associated with your chosen plan.

4.2 Lemon Squeezy as Merchant of Record

4.3 Billing and Renewals

• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• All fees are displayed in USD. Lemon Squeezy may convert to your local currency at checkout
• Lemon Squeezy will charge applicable sales tax, VAT, or GST based on your location
• You authorize Lemon Squeezy to charge your payment method for all recurring fees
• Failed payments may result in service suspension or termination
• Invoices and receipts are issued by Lemon Squeezy and are available from the link in your purchase confirmation email

4.4 Price Changes

We may change our pricing at any time. Price changes for existing subscriptions will be communicated at least 30 days in advance via email and will take effect at your next renewal date. You may cancel before the new price takes effect if you do not agree to the change.

4.5 Free Trial

We may offer a free trial period. No payment information is required to start a free trial. If you choose to subscribe after the trial, you will be charged through Lemon Squeezy. If you don't subscribe before the trial ends, your account will be downgraded and no charge will be made.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time from your account settings or by contacting our support team. Cancellations take effect at the end of your current billing period. You will continue to have access to the Service until that date. No partial refunds are provided for unused time within a billing period.

5.2 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you're not satisfied, contact us within 30 days of your initial purchase for a full refund. Refunds are processed by Lemon Squeezy to your original payment method. For complete details, see our Refund Policy.

6. Acceptable Use Policy

You agree not to:

• Violate any laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other malicious code
• Scrape, harvest, or collect data from the Service by automated means
• Impersonate others or provide false information
• Share your account credentials with others or allow unauthorized access
• Reverse engineer, decompile, or attempt to derive source code
• Use the Service to send spam or unsolicited messages
• Resell, sublicense, or redistribute the Service without written authorization

7. Intellectual Property Rights

7.1 Our Rights

The Service and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, and design) are owned by AuraLocal and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.

7.2 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely to provide and improve the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without compensation or obligation to you.

8. Third-Party Services

Our Service integrates with third-party services, including Google Business Profile and Lemon Squeezy (for payment processing). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for:

• The availability, accuracy, or reliability of third-party services
• Changes to third-party APIs or services that may affect functionality
• Third-party service outages or interruptions
• Data collection practices of third-party services

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy. Payment data is collected and processed by Lemon Squeezy in accordance with their privacy policy.

10. Service Availability and Support

10.1 Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (announced in advance when possible)
• Emergency maintenance
• Third-party service failures (including Google API changes)
• Events beyond our reasonable control (force majeure)

10.2 Customer Support

Support is provided via our contact form. Response times vary by subscription plan. We strive to respond within 24 hours on business days (Monday–Friday, 9AM–6PM EST).

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA
• WARRANTIES THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
• WARRANTIES REGARDING SPECIFIC RESULTS, RANKINGS, OR BUSINESS OUTCOMES FROM USING THE SERVICE

We do not guarantee any specific improvement in your Google Business Profile rankings, visibility, or customer inquiries. Results depend on many factors outside our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AURALOCAL SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from third-party services or content
• Damages resulting from service interruptions or errors

Our total aggregate liability shall not exceed the amount you paid us through Lemon Squeezy in the 12 months preceding the claim, or $100 USD, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless AuraLocal, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content submitted to the Service

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through your settings or by contacting support.

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails and is not resolved within a reasonable period
• We are required to do so by law
• We believe your account poses a security risk
• We cease operations of the Service

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days unless retention is required by law. You remain liable for all charges incurred before termination. Active subscriptions will continue through the end of the current billing period.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal claim, you agree to contact us at support@auralocal.com and attempt to resolve the dispute informally within 30 days.

15.2 Billing Disputes

For billing-related disputes, please first contact our support team via our contact form. Since payments are processed by Lemon Squeezy as the Merchant of Record, billing disputes may also be directed to Lemon Squeezy's help centre at lemonsqueezy.com/help.

15.3 Arbitration

If we cannot resolve the dispute informally, any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration shall be conducted in the State of Delaware.

15.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AuraLocal regarding the use of the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
